Terms of Service

These Terms of Service govern your access to and use of the Sentrock product health monitoring platform, our website, and related services. Please read them carefully. By using Sentrock, you agree to these Terms.

1.Agreement to These Terms

These Terms of Service ("Terms") are a binding agreement between you and Sentrock, Inc. ("Sentrock," "we," "us," or "our") governing your access to and use of our product health monitoring platform, applications, APIs, and website (collectively, the "Services").

By accessing or using the Services, creating an account, or clicking to accept these Terms, you agree to be bound by them. If you are entering into these Terms on behalf of an organization (a "tenant"), you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree, you may not use the Services.

If a separate written agreement (such as a signed order form, master subscription agreement, or Enterprise agreement) exists between you and Sentrock, that agreement controls to the extent it conflicts with these Terms.

2.Definitions

  • "Customer Data" means data that a tenant or its users submit to, or generate through, the Services, including health rule configurations and outputs, execution history, credentials and service account identifiers, product configurations, and related content.
  • "Authorized User" means an individual a tenant permits to access the Services under the tenant's account, including administrators, members, and service accounts.
  • "Custom Code" means code a tenant authors and runs within the Services to define custom health logic (available on eligible tiers).
  • "Monitored Product" means a third-party product, system, endpoint, or service a tenant connects to Sentrock for monitoring.
  • "Documentation" means the usage guides and materials Sentrock makes available for the Services.

3.Eligibility & Accounts

3.1 Eligibility

The Services are intended for business use by organizations and their personnel. You must be at least 18 years old and capable of forming a binding contract to use the Services. The Services are not directed to children.

3.2 Account Registration

Access to the platform is by invitation. Tenant administrators provision and manage Authorized Users. You agree to provide accurate registration information and to keep it current.

3.3 Account Security

  • You are responsible for safeguarding account credentials and for all activity that occurs under your account.
  • You must enable available security controls (such as multi-factor authentication and single sign-on) consistent with your organization's policies.
  • Notify us promptly at security@sentrock.io of any unauthorized access or suspected security incident.

4.The Services & License to Use

Subject to your compliance with these Terms and payment of applicable fees, Sentrock grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during your subscription term, solely for your internal business purposes.

Sentrock may update, enhance, or modify the Services from time to time. We may also establish reasonable usage limits (such as rule evaluation intervals, product counts, and rate limits) that vary by subscription tier.

5.Subscription Plans, Fees & Billing

5.1 Plans

The Services are offered in tiers (Demo, Advanced, Business, and Enterprise), each with different features, limits, and pricing as described on our website or in an applicable order form. Feature availability is enforced by tier.

5.2 Fees & Payment

  • Paid subscriptions are billed in advance on the interval stated at purchase (for example, monthly or annually), unless otherwise agreed in an order form.
  • Card payments are processed by our third-party payment processor. You authorize us and our processor to charge your payment method for all applicable fees.
  • Except as required by law or expressly stated, fees are non-refundable, and payment obligations are non-cancelable for the paid term.
  • Fees are exclusive of taxes; you are responsible for applicable taxes other than taxes on Sentrock's income.

5.3 Changes to Fees

We may change fees for a renewal term by providing notice before the renewal. Continued use after a fee change takes effect constitutes acceptance of the updated fees.

5.4 Free & Demo Tiers

Free or Demo access is provided "as is," may be subject to additional limits, and may be modified or discontinued at any time. We may use aggregated, de-identified usage data to operate and improve the Services.

6.Acceptable Use

You agree not to, and not to permit any Authorized User or third party to:

  • Use the Services in violation of any applicable law or third-party rights;
  • Access, monitor, or test any product or system you are not authorized to access;
  • Reverse engineer, decompile, or attempt to derive source code from the Services, except to the extent permitted by law;
  • Circumvent or interfere with authentication, tenant isolation, rate limits, sandbox controls, or other security or usage mechanisms;
  • Attempt to gain unauthorized access to the Services, other tenants' data, or related systems;
  • Upload malware, or use the Services to transmit unlawful, infringing, or harmful content;
  • Use the Services to build a competing product or to benchmark for a competitor without our written consent;
  • Resell, sublicense, or provide the Services to third parties except as expressly permitted; or
  • Impose an unreasonable load on, or otherwise disrupt, the Services or the products being monitored.

We may suspend access to investigate suspected violations that threaten the security, integrity, or availability of the Services.

7.Customer Data & Responsibilities

7.1 Ownership

As between the parties, you retain all rights in and to your Customer Data. You grant Sentrock a limited license to host, process, transmit, and display Customer Data solely as necessary to provide, secure, and support the Services.

7.2 Your Responsibilities

  • You are responsible for the accuracy, quality, and legality of your Customer Data and for obtaining all rights and consents needed to submit it to the Services;
  • You are responsible for configuring health rules, thresholds, alert routing, and Authorized User access appropriately for your environment;
  • You are responsible for the credentials you connect and for ensuring you are permitted to monitor each Monitored Product.

7.3 Data Handling

Our handling of personal information is described in our Privacy Policy. Where Sentrock processes personal information on your behalf as a processor, that processing is governed by the applicable customer agreement and any Data Processing Addendum.

8.Custom Code & Monitored Products

On eligible tiers, you may author and run Custom Code to define health logic. You are solely responsible for your Custom Code, including its correctness, security, and effects. Custom Code runs in an isolated, sandboxed environment with restricted network egress and resource limits; you agree not to attempt to circumvent those controls.

You represent that you are authorized to connect and monitor each Monitored Product and to provide the associated credentials. Sentrock is not responsible for the availability, accuracy, or behavior of Monitored Products or for any consequences of your monitoring configuration.

9.Intellectual Property

The Services, including all software, technology, designs, and Documentation, and all intellectual property rights therein, are and remain the exclusive property of Sentrock and its licensors. Except for the limited rights expressly granted in these Terms, no rights are granted to you.

If you provide feedback or suggestions, you grant Sentrock a perpetual, irrevocable, royalty-free license to use them without restriction. Sentrock may use aggregated, de-identified data derived from use of the Services to operate, secure, and improve them.

10.Third-Party Services

The Services may integrate with or link to third-party products and services. Those third parties are governed by their own terms and privacy policies. Sentrock does not control and is not responsible for third-party services, and your use of them is at your own risk.

11.Confidentiality

Each party may access the other's confidential information in connection with the Services. The receiving party will use confidential information only to perform under these Terms, protect it with reasonable care, and not disclose it except to personnel and advisors who need it and are bound by confidentiality obligations. This section does not apply to information that is public through no fault of the receiving party, independently developed, or rightfully received from a third party.

12.Warranties & Disclaimers

Sentrock will provide the Services with reasonable skill and care. Except as expressly stated in these Terms, the Services are provided "AS IS" and "AS AVAILABLE," and Sentrock disclaims all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Sentrock does not warrant that the Services will be uninterrupted, error-free, or completely secure, or that monitoring will detect every issue with a Monitored Product. The Services are a monitoring aid and are not a substitute for your own operational judgment and controls.

13.Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to these Terms or the Services, even if advised of the possibility of such damages.

Except for your payment obligations, each party's total aggregate liability arising out of or relating to these Terms will not exceed the fees you paid to Sentrock for the Services in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14.Indemnification

You will defend, indemnify, and hold harmless Sentrock and its affiliates from and against third-party claims, damages, and reasonable costs (including attorneys' fees) arising from: (a) your Customer Data or Custom Code; (b) your Monitored Products or your lack of authorization to monitor them; or (c) your breach of these Terms or violation of law. Sentrock will provide prompt notice of the claim and reasonable cooperation.

15.Term & Termination

15.1 Term

These Terms apply while you use the Services. Paid subscriptions continue for the term selected at purchase and renew automatically unless canceled before the renewal date, except as stated in an order form.

15.2 Termination

  • You may stop using the Services and close your account at any time in accordance with the platform's controls.
  • Either party may terminate for the other's material breach that remains uncured 30 days after written notice.
  • We may suspend or terminate access immediately for non-payment, a security or legal risk, or a violation of Section 6.

15.3 Effect of Termination

Upon termination, your right to use the Services ends. You may export Customer Data before termination where the platform provides export functionality; after a reasonable retention window, Customer Data may be deleted in accordance with our Privacy Policy and applicable agreements. Sections that by their nature should survive (including Sections 9, 11–14, 17, and 18) survive termination.

16.Changes to the Services or Terms

We may modify these Terms from time to time. When we make material changes, we will update the "Last Updated" date and provide reasonable notice (for example, by email or an in-product or website notice). Changes take effect as of the stated effective date. Your continued use of the Services after that date constitutes acceptance. If you do not agree, you must stop using the Services.

17.Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in Kent County, Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information. This choice of law and venue does not override any mandatory consumer protection rights, or any data protection rights under EU or UK law, that apply to you and cannot be waived by agreement.

18.General Provisions

  • Entire Agreement. These Terms, together with any order form and referenced policies, are the entire agreement between the parties regarding the Services.
  • Assignment. You may not assign these Terms without our consent, except to a successor in a merger or acquisition; Sentrock may assign freely.
  • Severability. If any provision is unenforceable, the remaining provisions remain in effect.
  • Waiver. A failure to enforce a provision is not a waiver of it.
  • Force Majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
  • Notices. We may provide notices by email or through the Services; you may contact us as stated below.
  • No Third-Party Beneficiaries. These Terms do not create rights for any third party.
